Terms & Conditions of Trade

Neernautix (“the Company”) is engaged in the sourcing, tasting, packing and supply of Assam tea on a business-to-business basis. All quotations, proforma invoices and contracts issued by the Company are for bulk supply and are subject to these Terms & Conditions unless expressly varied in writing.

Requests for Quotation submitted through this website, by email or by telephone are invitations to treat and do not constitute an order. A quotation issued by the Company states grade, quantity, packaging, price, taxes and delivery terms, and remains valid for the period stated on it or, where no period is stated, for seven (7) days from the date of issue.

Prices are quoted in Indian Rupees per kilogram unless otherwise stated, and are exclusive of GST and freight unless the quotation expressly states otherwise.

An order is formed only when the buyer issues a Purchase Order against a valid quotation and the Company confirms acceptance in writing. The Company reserves the right to decline any order, in whole or in part, including where a grade or lot quoted has been sold in the interim.

Unless otherwise agreed in writing, the Company's standard payment terms are: eighty per cent (80%) of the invoice value payable in advance against the confirmed Purchase Order, prior to procurement and dispatch; and the balance twenty per cent (20%) payable on delivery, prior to release or dispatch of goods.

Title in the goods remains with the Company until payment has been received in full. The Company may withhold or suspend dispatch where any amount due remains unpaid.

Tea is a natural agricultural product; reasonable variation between lots of the same grade is inherent in the trade. Where a sample has been approved, the bulk shall conform in reasonable likeness to the approved sample, judged by the standards of the Assam tea trade.

Grade descriptions on this website (leaf make, liquor, aroma, application) are indicative trade characterisations and not a warranty of any specific analytical parameter unless that parameter is expressly recorded in the quotation or contract.

Standard packing is 25 kg or 35 kg multi-wall paper sacks; jute bags and customised packing are available against the buyer's stated requirement. Dispatch is effected to the delivery point stated in the Purchase Order, on the Incoterms agreed in the quotation (EXW, FOB, CIF or DDP for international buyers).

Delivery dates are estimates given in good faith. The Company is not liable for delay caused by auction schedules, weather, transport disruption, or any cause beyond its reasonable control.

The buyer shall inspect the consignment on receipt. Any claim for shortage, damage in transit or material deviation from specification must be notified to the Company in writing within seven (7) days of delivery, supported by photographs and, where relevant, the carrier's delivery documentation.

The Company's liability for an established claim is limited, at the Company's option, to replacement of the affected tea or refund of the price paid for the affected quantity. The Company is not liable for indirect or consequential loss.

These terms and any contract formed under them are governed by the laws of India. The courts at Guwahati, Assam shall have exclusive jurisdiction.
